These Terms and Conditions govern your use of the services provided by Scarif, an AI automation agency operated by Arjun Mehta. By engaging our services or accessing this website, you agree to be bound by these terms.
1. Services
Scarif provides AI automation services including workflow design and implementation, system integrations, process automation, and ongoing optimization. The specific scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work or service agreement signed by both parties.
We reserve the right to decline any project that falls outside our area of expertise or conflicts with our values.
2. Client Responsibilities
To deliver effective automation solutions, clients agree to:
Provide accurate, complete, and timely information about their systems and processes
Grant necessary access to tools, platforms, and APIs required for the engagement
Designate a point of contact for timely communication and approvals
Use all delivered automation solutions in compliance with applicable laws and regulations
Ensure their use of AI outputs is ethical and does not cause harm to third parties
Delays caused by incomplete information or lack of access may affect project timelines and are not the responsibility of Scarif.
3. Intellectual Property
Upon full payment of all invoices, clients receive full ownership of all custom automation workflows, integrations, and deliverables created specifically for their project.
Scarif retains ownership of all underlying frameworks, methodologies, reusable components, and tools developed independently of the client engagement. We reserve the right to use anonymised project outcomes as portfolio references unless otherwise agreed in writing.
4. Third-Party Platforms
Many automation solutions rely on third-party platforms, APIs, and software tools including but not limited to Make, Zapier, OpenAI, Airtable, and similar services. Each third-party platform operates under its own terms of service and pricing.
Scarif is not responsible for changes, outages, pricing updates, or policy changes made by third-party providers. Clients are responsible for maintaining their own accounts and subscriptions with third-party services.
5. Results and Performance
While we design solutions with care and expertise, automation outcomes depend on factors including data quality, third-party system reliability, and client-side processes. Scarif does not guarantee specific performance metrics, revenue outcomes, or time savings.
All estimates provided during scoping are based on available information and are subject to change as the engagement progresses.
6. Confidentiality
Both parties agree to keep confidential all proprietary information shared during the engagement, including but not limited to business processes, system architecture, pricing, and strategic plans. This obligation survives the termination of the engagement for a period of two years.
Confidential information does not include information that is publicly available, independently developed, or disclosed with prior written consent.
7. Payment Terms
Payment terms are defined in the individual project agreement. Unless otherwise specified, invoices are due within 14 days of issue. Late payments may incur a monthly interest charge of 1.5%.
Scarif reserves the right to pause active work on any engagement with outstanding invoices beyond 30 days.
8. Limitation of Liability
To the fullest extent permitted by law, Scarif's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim.
In no event shall Scarif be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages.
9. Termination
Either party may terminate an engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed to the termination date. Scarif will deliver all completed work and documentation within 7 business days of termination.
10. Governing Law
These Terms are governed by the laws of the jurisdiction in which Scarif operates. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration.
11. Modifications
Scarif reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services following any changes constitutes acceptance of the revised Terms.
